The website https://simplycure.com (hereinafter, the “Site”) is owned and operated by Compliment srl, a company validly incorporated and existing under Belgian law, whose registered office is at 181, Chaussée de la Hulpe, 1170 Watermael-Boitsfort (Belgium), registered with the Crossroads Bank for Enterprises under number 0665.835.813 (hereinafter, “Simplycure”, “we” or “our”).

Simplycure reserves the right to amend these General Terms of Use (hereinafter, the “Terms of Use”) from time to time. In that case, we will nevertheless inform you through one of the following channels:

either we will update the last-modified date shown at the top of our Terms of Use, accessible via the Site,
or we will take it upon ourselves to actively inform you of the changes made, for example by publishing a notice on the Site’s home page

The changes made apply immediately, unless otherwise provided.

By creating an account or using the Site, the user of the Site (hereinafter, the “User” or “you”), who may be an ordinary visitor, a consumer or a healthcare professional (this list not being exhaustive), irrevocably and unreservedly accepts the terms and guidelines governing the use of the Site set out in these Terms of Use. This irrevocable and unreserved acceptance also extends to the other legal documents made available on the Site, including the Privacy Policy and the General Terms and Conditions of Sale.

We recommend that you read these Terms of Use carefully before using our Site.

Use of the Site

The User is solely responsible for the information they provide through the Site and the content they publish on it, and more generally for all material they make available to Simplycure through the Site.

When using the Site, the User undertakes to comply with the legislation in force. In particular, and without this list being exhaustive, the User undertakes to:

provide Simplycure with accurate, complete and up-to-date information, and keep that information up to date;
not impersonate any other natural person, entity or other legal person for the purpose of accessing and using the Site;
not attempt to access information concerning other users of the Site;
keep their account, username and password confidential. The User shall inform Simplycure without delay of any unauthorised use, or risk of unauthorised use, of their account and/or of their username and password. This notice shall be sent to the email address pro@simplycure.com;
protect their own data and/or software stored on their computer equipment against any harm;
comply with any instructions given by Simplycure in connection with the Site, for example in the event of maintenance work;
refrain from posting, publishing, uploading, sending or transmitting information, statements or content that are: fraudulent, false or misleading, defamatory, disparaging, libellous, vulgar, obscene, offensive, (child) pornographic, paedophilic, discriminatory, racist, intolerant, hateful or inciting hatred or harassment against an individual or a group, threatening, abusive, violent or inciting violence, likely to harm a person’s dignity or the respect owed to them, likely to undermine the protection of minors, likely to encourage illegal or dangerous activities or substances,
refrain from any behaviour likely to affect the proper functioning of the Site;
refrain from any intrusion, or attempted intrusion, into our systems;
refrain from any practice that diverts the Site to purposes other than those for which it was designed;
refrain from monetising, selling or granting all or part of the access to the Site or to the information it contains; and finally, more generally
refrain from any breach of these Terms of Use or of the laws and regulations in force.

In the event of a breach of this provision of the Terms of Use or, more generally, of any infringement of the laws and regulations in force, Simplycure reserves the right to take all appropriate measures and to bring any legal action to preserve and defend its rights.

Intellectual property

All elements of the Site, including but not limited to the systems and software used, source code, object code, layout of elements, infrastructure, databases and content of any kind (in particular texts, images, visuals, photographs, sounds, logos, the name “Simplycure.com”, trade names, trade marks and domain names), are protected by copyright and/or other intellectual property rights, including trade mark law.

All applicable intellectual property rights (copyright, trade mark law, database producers’ rights, design rights, etc.) are and remain the property of Simplycure or have been included on the Site with the permission of the owner of the rights in question.

None of the elements of the Site and none of the data or information made available on the Site may be stored or recorded (except to the extent necessary for the use of the Site), reproduced, modified, translated, communicated to the public, distributed, rented, sold, transferred to third parties or used in any way whatsoever without the prior written permission of Simplycure.

All acts of extraction, data mining and similar acts in relation to the elements (or certain elements) of the Site are strictly prohibited.

Warranty and limitations of liability

Simplycure undertakes and takes care to provide information that is as accurate and correct as possible, without however guaranteeing the accuracy, completeness, reliability and relevance of all the information and content made available to the User on the Site, and without being liable for them. This applies both to the information and content published on the Site and to the information and content published by Users or by third parties. The terms “information” and “content” refer to all elements that may be made available on the Site, including but not limited to texts, images, sounds or data.

Simplycure cannot be held liable for damage to or defects in the User’s computer equipment or data, whether permanent or temporary, suffered during or after use of the Site. In particular, Simplycure cannot be held liable for the transmission of any viruses, Trojan horses or other malicious programs via the Site.

Simplycure is not responsible for hyperlinks on the Site that lead to websites operated by third parties, nor for any damage that may be caused when visiting those sites. Simplycure exercises no control over those sites and cannot be held responsible for the information and content published on them.

Simplycure uses the most modern technologies possible to build and operate the Site and regularly carries out checks to verify the accessibility and proper functioning of the Site. However, Simplycure cannot be held liable for any (temporary) breakdown, interruption or failure of the Site or any malfunction of the Site, or for difficulties encountered as a result of maintenance work carried out on the Site.

Simplycure cannot be held liable for any decision taken or action carried out by the User on the basis of the information and content published on the Site. Nor can Simplycure be held liable for any errors or mistakes made by Users on the basis of the information and content made available on the Site.

Simplycure cannot be held liable for any damage, direct or indirect, or for any damage that may be caused by inaccuracy, incompleteness, lack of relevance, omission or negligence in the production, preparation, drafting and interpretation by the User of the information and content published on the Site.

Nor can Simplycure be held liable for damage resulting from the User’s breach of any of the provisions of these Terms of Use.

Protection of personal data

Simplycure processes and stores personal data in compliance with the laws and regulations in force applicable to the processing of personal data and, in particular, Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (“GDPR”) and the Belgian Act of 20 July 2018 on the protection of natural persons with regard to the processing of personal data, and in accordance with its Privacy Policy, accessible here.

The term “personal data” has the same meaning as given to it in Article 4(1) of the GDPR.

Miscellaneous provisions

The fact that Simplycure does not invoke, or takes no action against the User for, a breach of any of the provisions of these Terms of Use cannot be regarded as a waiver of its right to invoke them or to bring legal action in the event of a subsequent breach of those provisions by the User.

The invalidity of any provision contained in the various articles of these Terms of Use does not affect the binding nature of the other provisions of these Terms of Use. The parties agree that any provisions found to be invalid and/or unenforceable by a competent judicial or administrative authority shall be replaced by compliant provisions that come as close as possible to the provisions found to be invalid and/or unenforceable and have an equivalent economic effect.

If a contradiction should arise, or a dispute should occur, regarding the interpretation of a term or provision contained in any of the translations (into one or more languages) of these Terms of Use, the French version of the Terms of Use shall prevail.

Governmental Authority: Any government or regulatory organisation.
Healthcare Professional/Practitioner: A medical professional using Simplycure for their clients.
Intellectual Property Rights: Rights attached to intellectual creation, such as patents, trade marks, etc.
Law: Any legal or governmental regulation.
Payment Processor: A third-party service handling payments on Simplycure.
Client: A person purchasing products through a healthcare professional.
Products: Items on sale on Simplycure.
Services: Features offered by Simplycure.

Eligibility

To be eligible to use Simplycure as a Healthcare Professional, you must meet the following criteria:

Professional Qualifications:
- You must hold a degree in the health field, officially recognised by the competent authorities in Belgium or France. You are required to submit a copy of this degree to the Simplycure team for validation. Access to our site www.simplycure.com will only be granted after your qualifications have been verified and approved by our team.
Legal Compliance: You must know and comply with all local and national laws applicable to the sale and promotion of health products. This includes, without limitation, the regulations on advertising, product safety and ethical business practices.
Accuracy of Information: When registering on Simplycure, you must provide accurate, current and complete personal and professional information. You undertake to keep this information up to date to reflect any relevant change.
By registering on Simplycure as a Healthcare Professional, you confirm that you meet these criteria and undertake to maintain these standards throughout your use of our platform.

Right of Access and Rules of Use

You have the right to access Simplycure on a limited and personal basis, as long as you comply with our rules:

Act lawfully and ethically.
Do not make false statements on behalf of Simplycure.
Respect the intellectual property rights and privacy of others.
Do not use Simplycure for illegal or harmful activities.
Do not share your account with other unauthorised persons.

Accounts and Passwords

You are responsible for the security of your account and password. Do not share your account information with others.

Payment Terms

Prices and conditions of sale on Simplycure are subject to change. Purchases are confirmed by email, and we may refuse orders at our discretion.

Our Intellectual Property Rights

The content of Simplycure is protected by copyright. You may not use, copy or reproduce this content without our written permission.

Simplycure shall in no event be held liable for such complaints or claims, and the user agrees to indemnify and hold Simplycure harmless from any liability, loss, damage or costs arising from such claims.

Governing law and jurisdiction

These Terms of Use are exclusively governed by and interpreted in accordance with Belgian law.

Any dispute relating to the Terms of Use, including their validity, interpretation or performance, and more generally any dispute between the parties, shall be subject to the exclusive jurisdiction of the courts of Brussels (French-speaking division), unless mandatory legal provisions provide otherwise.

Before bringing any legal action, the parties shall take all reasonable steps to reach an amicable resolution of their dispute.
